Since 1996, Robert Emerson has been advising Duffy & Sweeney clients on a wide variety of topics including general corporate matters, federal and state securities laws, mergers and acquisitions, private placements, financing transactions, employee incentive plans and real estate purchasing and leasing. More recently, Bob’s practice has expanded into the tax and estate planning arena for business principals and procurement contracting for a major financial institution.
- Choosing the best corporate, partnership or other entity for a business venture.
- Designing a capital raising transaction to comply with Regulation D or blue sky laws.
- Negotiating indemnities and liability limits in purchase or merger transactions.
- Creating a QSST to enable stock gifting by the principal of an S-Corporation.
- Structuring an employment agreement or stock plan to comply with Rule 409A.
Professional and Community Involvement
Bob is an active ornithologist who organizes the Newport-Westport Christmas Bird Count, serves on the RI Avian Records Committee, and regularly contributes to various citizens science initiatives including breeding bird surveys sponsored by the US EPA, MA Division of Fish and Wildlife, MA Audubon and other research-oriented organizations. Bob coordinated the Harvard Club of Rhode Island’s Book Award to 40 area high schools for over a decade and is an active volunteer for the Walnut Hill School for the Arts.
